About the event
When a business is under pressure, the conduct of its directors can come under close scrutiny.
Poor decision-making, conflicts of interest and unfair treatment of shareholders can quickly lead to disputes. If the company is also facing financial difficulty, directors may need to consider not only their duties to the company, but also the interests of creditors.
What happens when a disagreement between directors becomes a serious dispute? Through a practical case study involving alleged misconduct, our speakers will explore how employment, company and commercial law issues can overlap, alongside wider issues such as insolvency and unfair prejudice, the risks and warning signs to be aware of, and the potential routes to resolution.
The session will cover key issues including:
- The employment status, rights and responsibilities of employed directors
- Their legal duties and obligations, including how breaches may amount to director misconduct
- The relationship between directors and shareholders
- Recognising and responding to serious misconduct
- Dealing with the interests of creditors
This event will be beneficial to new and established directors of owner-managed businesses, as well as shareholders who want to better understand their rights when disputes arise. Following a presentation, delegates will have the opportunity to ask questions.
